What is the most common reason that guys/gals convert from common to preferred?

Most commonly it is to pay themselves a dividend basically.

That being the case they may be thinking:

"owe we have a reverse merger coming so lets convert to preferred so that we get paid a monthly dividend because the company acquiring is large and the stock price is bound to go up."

I am still of the opinion that a reverse merger is on the way.
