"DTC may impose a Global Lock, which suspends both deposits and book-entry transfers of a security, as well as withdrawals and physical deliveries of the security, based on legal actions commenced by government or law enforcement authorities, most typically the SEC."

"If DTC determines there is “definitive evidence” that non-transferable shares have been deposited, DTC may impose a Global Lock. In this context, “definitive evidence” typically means that the SEC or another regulatory or law enforcement agency has brought an enforcement action alleging that the securities are restricted and not freely transferable."
