I agree with what you wrote cerp for the most part except for this:

Both company seems to come to an agreement already so it's on it's final stage to finalize it.

I think that Sunworks sold their company for more than just a promise and 1M bucks.

My guess is that the production run was successful in Rochester, and JN is waiting for the right moment to go public with the news.
(Note: advertising success before patents are official is somewhat risky.)

ps. nobody sells a company that nets around 1 million/year for 1 mil... common sense.
