If the preferreds are exchanged for common of the NewCo they would lose the cap as the market could value them up or down.

Personally I don't think that deal will go through. Perhaps it is a starting point, but I don't see the FHFA funding a newco by giving the preferreds full value for their shares. It will be interesting to see what eventually happens.
