VDSC did not claim that the 1.2 billion shares sold to an institutional investor were restricted, only that the 1 billion "unissued" preferred/restricted shares would be restricted.

The author of the PR doesn't seem to understand that unissued shares can't be preferred or restricted as they don't yet exist.
