On September 30, 2013, we acquired in an all-stock transaction, the operations of Gregory Palm Farms, LLC which is majority owned by Mr. Burl Gregory, the President and CEO of the Company in a related party transaction. The inventory, receivables, buildings, equipment and liabilities were acquired in exchange for 10,500,000 shares of the Company’ common stock. The land was not included as part of this transaction.
