This is what she told me so time back post 8998 8/14.

There are tax advantages regarding a sale its depends on how ithe sale is structured.

The debt maybe considered as a start cost which means it would be amortized also if its a Corp buyout there are lots of considerations such as subsidiary or stick reallocation.
