On October 28, 2013 E-Waste Systems, Inc. (“EWSI”) issued payment in full to Asher Enterprises, Inc. (“Asher”) to retire the Convertible Promissory Note (the “Note”) entered into between the two parties on June 3, 2013.

Asher has subsequently acknowledged the receipt of payment and the retirement of the Note without conversion of any part of the Note to equity
