I am posting for additional thoughts, conformation, etc.

"The Company has elected to withdraw the S-1 Registration Statement after receipt of a specific comment from the Securities & Exchange Commission (the “Commission”) advising that a withdrawal of the S-1 Registration Statement was appropriate.

No sales of the Company’s common stock have been or will be made pursuant to the S-1 Registration Statement.

Rule 155(c) allows a company to withdraw an S-1 registration of stock, if a better deal for financing has become available."

One thought is that LBSR might have withdrawn the S-1 for a better financial deal -- since the SEC said it was appropriate.
