1) Missed dates is a big red flag.

2) No proof of Novocab contracts outside of the PR.

3) The people involved per the failed filing in Florida have a string of failed businesses associated to their name.

3) Accidental release of "planned" RS. Whether they are still going to do the RS or not, they were planning to do it a month ago, and there is no EVIDENCE that it isn't going to happen.

Those are the big three reasons....IMO
