The company obviously had no idea how difficult it would be to find qualified directors for such a high risk situation to put it in charitable terms (or else Bordy didn't care figuring that the scam would collapse before the deadline.) Effective directors could have been found that didn't meet the $700 million public company experience bar but it's also obvious that the company is not interested in effective governance.
