I beg your pardon? Once again, the SEC is not in the business of "approving" anything. DeRoos submitted a filing. That's all.

He evidently decided to make the transaction with Riad a Reg D, Rule 506(b) placement. CDFT got the fake bonds; Riad got an incredible amount of stock.

It'd be fun to see the fully-diluted o/s number...
