8% interest on debt with no risk (due to the convertible feature at 10cents per share) is not favorable to NMKT investors. High risk convertibles are at 5%. This is NO risk, and it's at 8%. In fact, do the math....even at today's NMKT price, Phil is sitting on an $8million gain if/when he converts (conversion is at his option...although if it was at NMKT's option it wouldn't matter since he is essentially NMKT as well). And Phil pays himself and his VTI gang 8% interest while they sit on top of an 8million dollar unrealized gain (at the time of issuance, the unrealized gain was $24million).
