Aero Postal takes control of the Stealth Bomber

My hats off to Stewy and the Postals.They have finally triumphed over our minority stockholders defeat of their original plan to seize control of Capstone which they attempted almost exactly two years ago. That ridiculous plan depended on a clandestine soliciting of votes and subsequent hoped-for approval by a handful of "outside" shareholders which would have granted Postal and Wallach absolute control. I like to think it was my exposé of this secretive plan that embarrassed them into cancelling the solicitation under the guise of calling it a (rather expensive) "mistake".

This time they had to pay a little more for a bite of the same apple. But it remains the same rotten piece of fruit which converts CAPC into their own private playground.

From November 2011:

The interest of the management shareholders may not coincide with the interests of other holders of Company Common Stock. Furthermore, such insiders may take such corporate opportunities for themselves or offer them to other persons or entities, or they may also consider combining our operations with those of another company, including ones affiliated with an insider, or an associate of an insider.



From October 2013: (redacted):

Mr. Postal intends to aggressively present to the Company certain proposed business opportunities to achieve the Company’s previously announced corporate goal to enhance shareholder value by considering all commercially reasonable options. Such business opportunities may include opportunities in which one or more or all of the Reporting Persons have an existing equity or financial stake. The initial opportunities to be presented by Mr. Postal to the Company for consideration will include businesses or opportunities in which one or more of the Reporting Persons may have an equity or financial interest.........in the event that Mr. Postal and/or Ms. Postal bring business opportunities to the Company, including possible merger and acquisition opportunities and/or new business lines, to enable Mr. Postal and Ms. Postal to benefit from such efforts


And that private playground?:

When and if Mr. Postal and Ms. Postal and the principal shareholders of the Company who are members of management decide to vote together on a corporate action proposal presented for shareholder vote or consent, they should have sufficient voting power to unilaterally or with the support of a few other shareholders of the Company to unilaterally approve or reject any corporate action presented for or requiring shareholder approval.


Now for those of you who feel this is a wonderful thing, I'm sure you must also feel this is a delightful altruistic move on the part of the Postals and that they are planning to see that the little folk all share in the happiness, wealth, and prosperity that they themselves will enjoy.

But for those doubters who may wonder why it was necessary to achieve near absolute control by essentially banning the little folk from the oversight of what was a public playground, I can only say,
