How does an 8K which includes terms for financing that won't have any effect on the Company or stock til September 2015 have an effect tomorrow?

Because the 8-K from 2011,,,,,,, pain was just very recently alleviated with many suffering. Why would this time be different? What was the money used for last time? What will it be used for this time? Longs propping up the stock for what? Sterling should have some transparency show some leadership and spill the beans.
