"As of closing of the purchase of the Green Shares and Minority Stockholder Shares (collectively, the "Transaction”), FJ and the Third Party Purchasers now beneficially own an aggregate of approximately 96.5% of the total outstanding shares of the Registrant's capital stock and total voting power of the Registrant's outstanding voting securities."
