PERI down 7% in pre-market. This is a huge merger and only 19% of the combined company will be owned by the previous PERI shareholders. In effect, Conduit is going public through a reverse merger, it being the much larger company.

It's evidently accretive to EPS, but growth prospects may have been diminished.
