That prevented an immediate dilution. But that dilution is only deferred.
It also means that they will be the only shareholders required to vote on any deal or share issue.
It is delusional to think that the aquisition was structured in this way to protect ordinary shareholders. It was structured this way to ensure that there would be enough shares available to support the continued issue of convertible debt.
