LD, When a stock is delisted the company can walk away from the listing. Lehman did not need to approve. All that needs to happen is for a market maker to pick it and get approved from the exchange to trade the shares. Same thing happened with Fannie and Freddie. They delisted as they saw no need to continue paying exchange fees. Jefferies picked them up as the market maker.
