Preferred stock ranks higher than common stock. Common stockholders ONLY get what is left after preferred stockholders get paid what is due to them.
Since the buyout is for $44 million, but preferred stockholders are owed $150 million, there will be nothing left for the common stockholders. Which is why the common stock is completely worthless.
