I did a google for "definitive agreement" just for "spits" & giggles.... everything it pulled up also had the term "acquisition" involved...

Thereafter, if the parties mutually agree that a national rollout of this program is mutually beneficial, they will enter into a definitive agreement for such national rollout.

The original 8-K used the term "Material Definitive Agreement".
Please humor a blondie here... is there a difference?
