Here is the way I see it. An agreement or contract are basically the same thing. What is important here is the way the agreement was written. You are correct that they are not in inforcable by law but a breach of contract openes the door for litigation if the present owner feels he is entitled to compensation or damages.

BTW, I stated earlier that I had enquired through the present owners agent as to whether there was in fact a signed agreement with kat gold. I did not expect a response but last night he did. He talked to the owner and did get verification that yes such an agreement was in place. He also stated that upon payment kat gold would own the mine. I would hope that a announcement stating financing has been obtained is in the offing. I would think the present owner would have vetted Mr stead and kat gold before initiating the agreement.
