Issuers that have stock registered under either SEC 12(b) or SEC 12 (g)....listed companies and companies that exceed 12(g) thresholds...have reporting obligations along with insiders and beneficial holders...

Medizone fits neither category and instead falls under SEC 15 (d)---reporting since they have filed a registration statement but with no insider/beneficial holder requirements to disclose...
