You don't understand the details of the regulations.

Pink sheets don't require the company to provide a listing of insiders and affiliates. This is because they are not required to file financial information with the SEC.

However that doesn't mean they aren't subject to regulations in other aspects of being a public company. Those regulations include the selling of securities in unregistered transactions. Private placements are transaction of unregistered share offerings and have specific statues relevant to them like 144 restrictions.

So the company is fully following the rules and I am willing to bet my life these securities were sold with the 144 restrictions.
