If the mgmt owns restricted shares, you're correct, but if the year is up and the legend has been removed, mgmt shares of common are back in the float. It's really superfluous because no-one knows if he owns common anyway, but he definitely holds 5 M of preferred which is convertible to common at at least 1:1, so point is still that he owns shares.
