Jafruech. Has everything to do with the state they are incorporated
in. Google securities lawyers in your part of the world & ask them.
From what I understand they have to incorporate thru a third party who does have an office in the state but they themselves do not have to have an office there. This 3rd party acts as the principals intermediary. Google laws of incorporation if you want a lengthy & interesting read. I went thru the whole scenario with GVIT.
