You don't really need a filing to tell you that they financed the TORQ acquisition with shares. How many who knows...does it really matter? How else does a company finance an acquisition when they have no cash? Toxic debt financing where they would be making payments by giving away shares? Anyway you slice it they're going to be giving up shares.
