Correct- It's explained in the filings:

Rescission of Geartec Services, Inc.
The Company rescinded the acquisition of Geartec Services, Inc. with mutual assent of the parties on February 4th, 2010 as if the transaction had never occurred. This voided the acquisition of Geartec Services, Inc which had originally occurred on September 12, 2009 whereby the Company had acquired 100% of Geartec Services, Inc. for 20,000,000 shares of restricted common stock and other considerations. All other considerations were cancelled; however, the owner of Geartec has not returned the 20,000,000 shares of common stock. Consequently the Company has placed a Stop order on the stock certificate with the transfer agent. These shares are excluded from the shares outstanding, as if they had been cancelled.
