I was thinking more like the deal would be consummated on a closing date's share price, say May 10th. And the BP wanted 50mil shares....thus the keeping of the PPS low.

If I was BP, I would love to get 50mil shares at this level, then announce MOS results, then phrase III approval, then the partnership.

The gain on their 50mil shares would immediately offset the cash paid out to PPHM. Its a win/win scenario
