A company like Pfizer usually keeps a law firm on retainer for life. I won't bother with the reasoning, it just is what it is. I once lost a business due to a lawyer in gross conflict.

A conflict of interest (COI) occurs when an individual or organization is involved in multiple interests, one of which could possibly corrupt the motivation for an act in another.

IF ILNS made a deal with Pfizer while Chain and Pfizer both had the same lawyer, then the entire deal is suspect. It could be painted that Chain and Pfizer engineered a deal that was not in the best interest of ILNS. A deal that might eventually lead to the collapse of ILNS.

And please don't question motivation. There is far too much (potential) profit involved for motive to be confusing for anyone.
