So, could Frankel Spankel pay his golf buddy, mistress, college room mate or bartender shares of stock for "consultation services", which they then sell to the shareholders?

I don't see anything in the language to stop that behavior so the shares will end up getting dumped on the existing shareholders. In fact, paying for "services" with shares has been Sydney's MO all along.
