Perhaps I am wrong here but, aren't there supposed to be disclosure statements filed if a convertible note is converted to stock? If not a public disclosure, isn't the company made aware of any conversions, so that they may be assured of having enough authorized shares to cover the conversion?

It seems simple to me that someone would have to be notified of a conversion of shares. The DTC? The T/a ? Someone. They just can't drop shares into the market without letting anyone know, can they ?
