Although it is always important to look at the downside of a company, I see no real reasons as to why this would be a P&D or scam. The company has said it has no intention of doing a reverse split, the company has retired more than half their shares, they have not increased the AS, they have continued to acquire more potential revenue producers....etc, etc. The management is not the one selling/shorting shares as it is not a large shareholder, and has few available in AS.
