diarch: I understand your point. The summary of the argument is don't pay Marriott from operations cash, instead dilute investors.

To compensate for the $400,000 decline in salary, and absorbing risk, we give her $450,000 in shares at par value, or 450M nondilutable shares a year. Can you image the outrage if she was sitting on 1.5B shares? Especially when investor realized that her options alone would have forced a reverse split before now?

My point is I don't think she will be able to please anyone with her comp plan no matter how is was assembled.
