One more thing the resolution does say in the board's discretion if necessary. While I am no longer practicing law in California I am a member of the bar in Washington D.C. The board of directors can not self deal nor can they commit other acts that abuses discretion. There I will be writing a letter to the board letting them know they should act in Good faith in all determinations and not act in derogation of the rights of shareholders. I will post the letter when written on this site.
