the S-3 Registration is for CAMOFI $6MM debenture, part of the
lawsuit settlement. It is debt ACT owes. The shares were registered so CAMOFI can covert, if they wish.

Has nothing to do with,

GR is scheduled to sell a portion of securities at any given time
