Well he says he isn't selling common stock, I think he is using prefered to raise capital which is not uncommon, I woul prefer he audit the firm and use debt to expand.

Question is to what extent? And is it legitimate? Well that depends on the expansion. Its not fraud , and it won't directly effect your shareholder value since prefered stock is usually bought back and not converted upon maturity. If the company is growing as quickly as it may be and I think that there is decent growth yes prefered stock is ok to raise capital. Its not dilution.
