OT: King info on Schedule 13D Filing

Learn the detail from the sec.gov and edgar website
They have very comprehensive information on how to file

If you use a lawyer or paid service then you might not need to know all the technical details.. You will just need to talk to them and fill out the forms and they will make the document, "edgarize" it for you and then submit the document to the SEC on the behalf of you (either it's shedule 13D, or form 3,4,5)

If you aren't very familiar or not willing to learn all the technical part (creating the document and learning how to transfer/transmitt the file to the SEC) then the best way is to use a paid service (lots of paid service available for some fee.. like $30-$60 per filing.. depend on the type of document)

SEC takes this matter seriously and the form needs to be filed accurately and timely. if you are already 5%+ now and haven't file you might want to call the SEC and talk to them and ask for direction and I'm sure they will glad to help you (or contact the company that you are already holding 5%+)

And if you are willing to learn the technical detail and do it on your own then do these steps:

1. download a template from the sec website for the Schedule 13D and fill out the information requested

2. download the file transfer program from edgar and install it in your PC and do the settings

3. download the 13D template for the edgar software above.

4. create a new submission process, attach your document (I use HTML format, but XML or TXT is also acceptd) and do a test submission and if there's no error then do the live transmission and if you submit it before 9:50pm it should be posted that day and if you posted between 9 50pm and 10pm it will be posted the next day morning

I am quite sure RonZlat will probably said the same thing about the 13D filing
