I'm no tax expert, but I assume there is some tax advantage or other business reason for AAPT's business structure. What I see here is another legal entity (corporation) was set up to handle AAPT sales and distribution. NO BIG DEAL.



You hit the nail on the head. Don't you want to know the reason? Yes, AAP Sales and Distribution was set up for some business or tax reason. That is obvious. It appears it is a "shell" so the owners can put money in it and have it not accounted for in the same way as the rest.

I content the owners are very smart. Look at how many companies they operate: How many AAP businesses are there? I know that companies put family names on businesses, but these are all with just the two names, except the one company with Randall as every officer--but now looks like it could be another company with Lisa - I guess we will know soon enough. Why 3-4 companies for one couple to sell two products?

I am involved with some other small companies, but they actually let shareholders vote on things. Will any AAP companies have shareholder meetings where you guys can vote? Which company's shares do you hold? Other Penny companies I KNOW to announce shareholder meetings and ask for votes. You and the Private Placement holders own the company, do you get to at least vote to keep management or add subsidies? --or change officers as appears to have happened recently?

Anyway, the big question is why doesn't L and B just put up the Million dollars? If they put that million into the company they could pay off the debts, produce plenty of product for Walmart and really get this company off the ground.

I contend three possible reasons it hasn't happened.: 1. There are not enough shares left to execute the note, and/or 2. They don't have the money. (They would have to pay off the advance payment first, so that means coming up with a lot of money. 3. They never intended to do it in the first place. It just looked good to prospective investors. It make many feel secure in their investment. Oh the owners are very very smart.

Of course these are only My opinions.
