In April 2012, G. Reed Petersen purchased 24,621,200 shares of restricted stock of the registrant, owned by William C. Sears, representing
68.01% of the total outstanding shares. Subsequent to the purchase of said shares, William C. Sears and Max Kern resigned all their positions
with Sears Oil and Gas, Inc. Max Kern retained 2,500,000 shares of common stock. At a special shareholders meeting, G. Reed Petersen was
elected as the sole director.
