Ultrasis plc
Completion of fundraising and total voting rights

Ultrasis is pleased to announce today completion of the funding arrangements announced on 29 January 2013 which have raised in total £2.85m for the Company. Mr. Paul Bell has subscribed for 178,571,428 new ordinary shares, at a price of 0.28p each, raising £0.5min aggregate and has agreed to provide loan facilities comprising a convertible loan of £0.35m and a term loan of £2.0m. Details of the terms of the loans were provided in the announcement on 29 January 2013.

As previously announced, Mr. Bell has proposed the appointment of an additional non-executive director, Mr. Daniel Llywelyn Bate, whose appointment becomes effective today.

Admission of the 178,571,428 new ordinary shares has occurred today, following which the total number of ordinary shares of 0.1p each in issue, and the total number of voting rights, is 1,702,842,794.

The above figure of 1,702,842,794 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in Ultrasis, or a change to their interest in Ultrasis, under the FSA's Disclosure and Transparency Rules.

Mr. Bell has, as a result of the issue of these shares, a beneficial interest in 334,032,328 ordinary shares, representing 19.62 per cent of the Company's issued share capital. Mr. Bell is also interested in up to a further 125,000,000 ordinary shares under the terms of the convertible loan, which if converted could take his interests to a maximum of 459,032,328 ordinary shares representing 25.11 per cent of the Company's issued share capital.
