10. This Stipulation may be executed in multiple counterparts each of which constitutes an original and all of which together constitute one and the same agreement. Facsimile or PDF signatures shall be considered original signatures for all purposes.
11. This Stipulation constitutes the entire and complete understanding and agreement of the Parties, and supersedes prior understandings and agreements, if any, between the Parties with respect to the subject matter hereof.
12. This Stipulation is binding upon the Parties and all of their respective successors, heirs, legal representatives and assigns, including any subsequently appointed liquidating trustee or Chapter 11 or Chapter 7 trustee.
13. This Stipulation may not be amended or changed except in a writing signed by both of the Parties.
