About the merger...

On Tuesday, November 13, 2012, Micron Enviro Systems and UK based Britannia Mining announced the Merger of the two companies.

"Merging Micron with an international company that has the global reach, size and potential wealth that Britannia offers, should finally afford Micron shareholders the type of confidence and value committed investors deserve," stated Bradley Rudman, former President of Micron Enviro Systems.

As of the close of business on October 31st, 2012, Mr. Kenneth Roberts, founding director and executive officer of Britannia Mining, transitioned into the Chief Executive position of Micron Enviro Systems. With Roberts comes a seasoned team of mining executives, consultants, service firms, partners and international investors.

Mr. Rudman has resigned from his executive post as CEO and Secretary. He has also been removed from the Board of Directors. Although Mr. Rudman will no longer carry a chief executive position, he will continue with the company in a capacity suitable to managing the ‘NEW’ North American Offices of Britannia Mining.

The two companies have executed an Agreement and Plan of Merger which secures Britannia’s interest in Micron. It also ensures that Mr. Roberts is now the executive officer in power. There continues to be a few logistical items which will require completion before the company can receive a name change, seek a move to a higher exchange, compensate new executives, etc. One of these logistical items includes the ratification of the merger (see ratifying merger). Once complete, Britannia will begin to move their operations (in the UK and Malawi Africa), assets and investment interest into Micron.
