Hey wheel,
I spent the morning reading the entire 10Q as well as checking for the answer to your question in the most recent SEC filings, including revisiting the most recent Form 3 & 4 insider trading documents. I have not been able to determine how many shares have "Excersizable Options" either. I do know that there are a handful of conversion notes and warrents due to the most recent Reverse Mergers along with some payments that took place and they were paid in anti-dilutive shares / options. The value of all those shares are currently worth .035 {That's good news IMO} and leads me to believe we won't fall to far from that price.

Getting back to the 64 million dollar question ... Is Dilution taking place? There seems to be around 152 million shares that could be diluted into the market but I cannot officially prove that because to me, it's not clear in the 10Q or at least I'm baffled anyway.

Never-the-less ... I think unless we get a better, more experienced trader to post on this board I'm watching PHOT like a hawk!!!

Understanding the basics of dilution, which I do, you have to watch volume. If the buy volume is there but the price doesn't move, that's potentially a bad sign for shareholders and I for one won't get caught holding upwards of 300,000 shares and just let the price dwindle down to nothing.

If selling on the other hand continues and the price reacts appropriately by going down, I'm in ... I want to have about 1/2 million shares at an average of .03 but I will be completely happy to see the next leg up start NOW!!!!

I'm ready to see .07 - .10 or higher because if I sold 200,000 shares anywhere in that range I will be more than doubling my investment.
