I agree that it should've been 8k'd. That report is a "material event" according to the definition, and would've really affected the stock price if GTGP wasn't on the grey's. It is obvious that not much is affecting the stock price now anyways. But that still doesn't excuse not filling it especially with the SEC looking at everything. As a shareholder this is my main concern at this point. Jim should be leaving nothing to question in that regard.
