The Merger Agreement says "The Merger shall become effective upon the filing of the Certificate of Merger with the Secretary of State of the State of New York and the filing of the Articles of Merger with the Secretary of State of the Slate of Nevada."

O-face palm-M-G! OF COURSE, the Certificate was FILED.

It just wasn't Accepted. It hasn't been Rejected either (which means the filing wasn't altogether unacceptable).

But it doesn't matter whether Gary finishes it or not...

...because it only has to be filed!

Clever, Gary, clever! Kudos to the scammers!
