IMHO....

Mairo and his legal counsel are unable to resolve this situation for one reason or another.

Therefore, if the shareholders don't step in and take action WD and his cronies will take this company down. WD obviously has the will, the knowledge of the court system and how it works, and people willing to do his dirty work. He is betting that this time is no different than any of the other companies he has flushed down the toilet. That the shareholders will just walk away and move on to their next dream of quick riches.

I say we organize and throw everything at them. SEC, legal action, whatever it takes, so they can't do this again.

Question is, is there enough support for this type of action?
Someone is trying to compile a list of people willing to take action, but don't know how far along that is already.

Not knowing the legal system myself, it is difficult to say where to start. However, it seems clear to me that "Charlie" has not been working in the best interest of the shareholders, to say the least. A complaint or investigation needs to be done of "Charlie" and why he has failed to represent the facts to the Court properly.
