You assume those shares come from KATX's pool of shares, that I seriously doubt will happen.

If the additional shares need to be delivered they will much more likely come from the AS of BVIG.
There is room within the AS for those additional shares to be added to the OS without adding to the AS. It is BVIG that would pay a penalty there is NO reason for KATX to pay such a penalty IF it happens.

KATX is seriously underpriced for the value of the shares it holds by at minimum a factor of 3X.
