Dear Mr.Tai_ming Ou,
We the shareholders request a Special Shareholders Meeting as is available to us undr Article II,3 of the Corporate Bylaws, to obtain a shareholders vote by solicited proxy statements on the following proposals;
Proposal 1. Each quarter the Company shall distribute to shareholders a dividend of 10-25%, as determined by the Board of Directors. FOR AGAINST
Proposal 2. Within 60 days the Board of Directors shall appoint 2 independent directors as indicated under Article IV,3 of the Corporate bylaws. FOR AGAINST
Proposal 3. Within 60 days, the Board of Directors shall appoint a qualified investment banker for purposes of selling the Company at a price equal to or greater than 150% of the Company's Net Asset Value. The selected banker shall work on a graduated commission basis, which may be adjusted by the Board, but not to exceed 20% for sale prices exceeding 200% of Net Asset Value.
FOR AGAINST
Proposal 4. Within 90 days, The Board of Directors shall appoint a qualified independent auditor for purposes of performing the annual audit as is indicated under Section IV,3,a&b of the Corporate bylaws. FOR AGAINST
We regret that we have deemed it necessary to have the Company incurr the additional expense of holding a Special Shareholders Meeting to resolve the above listed Proposals,and, if our proposals are adopted by Board of Directors action and publicly announced in the new service, by November 30th, we will reevaluate our request for a Special Shareholders Meeting.
