In mystery stories, a red herring is a misleading clue. In the stock market, it's the term used to describe the preliminary prospectus for a new issue. The name comes from the warning legend printed on the cover that this is a preliminary version and should not be relied upon. I haven't seen a physical one in some time, but as I recall, there are also other statements in red ink in the first few pages, also. If a price per share or unit is even printed, it is also in red.
